CipSoft GmbH, Prüfeninger Straße 20, 93049 Regensburg, Germany ("CipSoft") operates the game The Settlers Online ("Game"). This service agreement ("Agreement") defines the terms and conditions on which CipSoft offers you access to the Game.

Subject of the Contract

CipSoft grants you access to the Game free of charge. It is your responsibility to check the system requirements and to ensure that your connection to the internet is working.

CipSoft grants you the non-exclusive, non-transferable, limited right to use the Game for your personal non-commercial use for gameplay on any device that you own or control. You acknowledge that no title or ownership in the Game is being transferred or assigned. This Agreement does not constitute a sale of any rights in the Game. All rights not specifically granted under this Agreement are reserved by CipSoft.

CipSoft reserves the right to further develop the Game, even if this incurs changes to the rules of the Game.

Duties of the User

You are responsible for the security of your account, registered email address and computer system. You must not disclose account data to others or accept account data of others (including account trading and account sharing). CipSoft cannot be held liable for any damage resulting from compromised accounts.

Rules of Conduct

You are required to behave in a considerate and respectful manner towards other players. In particular, it is forbidden to provoke other players or to disrupt gameplay in any other conceivable way. CipSoft may exclude you from the Game for a limited period of time or permanently if you violate these rules of conduct.

Termination

You may terminate this Agreement, without cause and for no reason, at any time by not accessing it any longer.

CipSoft may terminate this Agreement if you violate the terms and conditions of this Agreement.

CipSoft reserves the right to permanently shut down the Game, thereby terminating this Agreement at any time.

Limitation of Warranty and Liability

CipSoft does not guarantee continuous or error-free operation of the Game. CipSoft provides the Game "as is" and disclaims all warranties or conditions of any kind, expressed, implied or statutory, including, without limitation, the implied warranties of title, non-infringement, merchantability and fitness for a particular purpose. CipSoft reserves the right to temporarily shut down the Game at any time for maintenance purposes.

CipSoft cannot be held liable for loss of profit or any other special, incidental or consequential damages arising out of or in connection with the Game, unless such damages were caused by intent or gross negligence on their part.

Final Provisions

CipSoft reserves the right to modify the terms and conditions of this Agreement at any time. Such modifications will be deemed accepted if you continue to access the Game after the changes take effect.

In the event that one or more provisions of this Agreement should be or become invalid, the validity of the remaining provisions shall not be affected thereby. The invalid provisions shall be deemed to be replaced with such legally permissible provisions which come as close as possible to the purpose of the invalid provisions.

This Agreement shall be governed by the laws of Germany, excluding any conflict of laws rules. Exclusive place of jurisdiction for all disputes arising out of or in connection with this Agreement shall be Regensburg, Germany. CipSoft is neither willing nor obliged to take part in out-of-court dispute resolution.
